Terms of Use

The agreement that governs access to and use of MetaPrism.

These Terms of Use (“Terms”) govern access to and use of the MetaPrism web application, APIs, browser extension, and related services (the “Service”) operated by:

(“Source Control”, “MetaPrism”, “we”, “us”, or “our”)

By creating an account or using the Service you agree to these Terms, our Privacy Policy, and our Acceptable Use Policy. If you do not agree, do not use the Service.

If you use the Service on behalf of an organisation, you represent that you have authority to bind that organisation and “you” includes that organisation.

1. The Service

MetaPrism is a research productivity tool that helps researchers organise literature, collaborate on systematic reviews and meta-analyses, manage PDF full texts within projects, and (where enabled) use AI-assisted features.

The Service does not provide legal, medical, regulatory, clinical, or any other professional advice. You alone are responsible for any use of outputs, publications, submissions, or decisions.

We may modify, suspend, or discontinue any part of the Service at any time.

2. Accounts and Eligibility

You must provide accurate information and keep your credentials secure. You are responsible for all activity under your account. We may suspend or terminate accounts that violate these Terms or the Acceptable Use Policy.

You must be at least 18 years old (or the age of majority in your jurisdiction) and capable of entering into a binding contract.

3. Your Content

“Your Content” means bibliographic records, notes, search strategies, project data, messages, files (including PDF full texts), and any other material you or someone acting for you submit to the Service.

You retain all ownership rights in Your Content that you already own. These Terms do not transfer copyright ownership to us.

You represent and warrant that:

  • you have all necessary rights, licences, and permissions to submit Your Content and to grant the limited licence in Section 4;
  • Your Content does not infringe any third-party intellectual-property, privacy, or other rights; and
  • you have the legal right to make any copyrighted PDFs or other documents available to the members of the specific project(s) to which you attach them.

4. Limited Licence to Us (Project / Team Scope Only)

By submitting files or other content you grant Source Control IKE a worldwide, non-exclusive, royalty-free licence solely to:

  1. store, process, and display the content as needed to operate the Service for you;
  2. make the content available only to members of the specific project(s) or team(s) to which you (or a collaborator with appropriate permissions) attach it, according to the roles you set; and
  3. create technical derivatives (hashes, extracted text, embeddings, indexes) strictly for use inside those same projects/teams.

We do not use Your Content for any platform-wide index, cross-project sharing, Master Document Index, or similar shared repository. Uploaded documents remain confined to the project/team scope you choose.

The licence ends when the content is permanently deleted from the Service (subject to reasonable backup retention and legal requirements).

5. AI Features

Where AI-assisted features are enabled:

  • The Service runs primarily on infrastructure we control. For most tasks we use our own models.
  • When we use third-party model providers, we do so under contracts that restrict the provider from using customer content to train their foundation models.
  • We do not use Your Content (prompts, documents, or outputs) to train third-party foundation models.
  • We may use anonymised or aggregated technical data to improve the reliability of our own systems.
  • AI outputs are probabilistic and may contain errors or incomplete information. You must review and verify any AI-generated content before relying on it. We accept no liability for decisions made on the basis of AI outputs.

6. Acceptable Use

You must comply with the Acceptable Use Policy (incorporated by reference). We may remove content, throttle usage, suspend accounts, or involve authorities if we reasonably believe these Terms or the Acceptable Use Policy have been violated.

7. Intellectual Property in the Service

The Service (software, design, trademarks, documentation) is owned by Source Control IKE or its licensors. You receive only a limited, non-exclusive, non-transferable, revocable right to use the Service in accordance with these Terms.

8. Fees and Payment (when enabled)

If you purchase a paid plan you agree to pay the applicable fees. Fees are generally non-refundable except as required by mandatory law or as we expressly state in writing. We may change pricing for future periods with reasonable notice.

Where EU consumer law applies, you may have a statutory right of withdrawal for digital services; any such right will be described at the point of purchase.

9. Disclaimer of Warranties

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE”. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, OR THAT AI OUTPUTS WILL BE ACCURATE OR COMPLETE.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW:

  • Source Control IKE and its officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, punitive, or exemplary damages, or for any loss of profits, data, goodwill, or business opportunities, arising out of or related to the Service or these Terms, regardless of the theory of liability.
  • Our total aggregate liability arising out of or related to the Service or these Terms shall not exceed the greater of (a) the amounts you paid us for the Service in the twelve (12) months preceding the claim, or (b) one hundred euro (€100).

Nothing in these Terms excludes or limits liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation, or any other liability that cannot be excluded or limited under applicable law (including mandatory Greek or EU consumer-protection rules).

11. Indemnification

You will defend, indemnify, and hold harmless Source Control IKE and its officers, directors, employees, and agents from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising out of or related to:

  • Your Content;
  • your use of the Service;
  • your violation of these Terms, the Acceptable Use Policy, or applicable law; or
  • any claim that Your Content infringes or misappropriates third-party rights.

This indemnity is subject to any limitations imposed by mandatory law.

12. Suspension and Termination

You may stop using the Service at any time. We may suspend or terminate your access immediately for breach of these Terms or the Acceptable Use Policy, or for any other legitimate reason with reasonable notice where practicable.

Upon termination your right to use the Service ends. Sections that by their nature should survive (ownership, licences already granted, disclaimers, limitations of liability, indemnity, governing law) will survive.

13. Force Majeure

We are not liable for any failure or delay caused by circumstances beyond our reasonable control, including natural disasters, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, accidents, strikes, or shortages of transportation, facilities, fuel, energy, labour, or materials.

14. Changes to the Terms

We may update these Terms from time to time. We will post the updated version and revise the “Last updated” date. Material changes will be communicated by reasonable means (email or in-product notice). Continued use after the effective date constitutes acceptance, except where mandatory law requires explicit consent.

15. Governing Law and Dispute Resolution

These Terms are governed by the laws of Greece, without regard to conflict-of-law principles. The courts of Larissa, Greece shall have exclusive jurisdiction, subject always to any mandatory consumer-protection rules of your country of residence that cannot be waived.

16. General

These Terms, together with the Privacy Policy and Acceptable Use Policy, constitute the entire agreement between you and us regarding the Service. If any provision is held unenforceable, the remaining provisions remain in effect. Our failure to enforce any right is not a waiver. You may not assign these Terms without our prior written consent; we may assign them freely.
